Restructuring project for five affiliated companies with a complex debt structure
An investor carrying out a development project faced the challenge of bringing order to the situation within a group of several affiliated companies. The entities had the potential for further use in business operations, but their functioning was complicated by an extensive network of mutual obligations and financial ties.
The client needed not only a diagnosis of the problem but, above all, an effective action plan that would allow the situation to be resolved and the companies to be retained as part of future business ventures.
Analysis of interconnections and selection of the optimal restructuring path
Our support focused on comprehensively streamlining the situation within the group of companies. As a first step, we conducted a detailed analysis of mutual settlements, identifying all financial interconnections and sources of debt.
We then assessed the restructuring capacity of individual entities and reviewed available legal solutions that would allow for streamlining the structure while preserving the companies’ business value.
Based on this, we developed an action plan and carried out five separate restructuring processes, tailored to the situation of each company. The key challenge was to coordinate activities in such a way that changes in one entity would support the processes underway in the others – rather than causing further complications.
A streamlined structure and the potential for further growth
The measures taken clarified the companies’ legal and financial situations and prevented a scenario in which some of them might have had to cease operations due to mounting debt problems.
Thanks to the restructuring, the client retained the entities that it can continue to use in its ongoing business and investment projects. Another significant outcome was the restructuring of approximately 50 million PLN in intra-group debt while maintaining tax neutrality, which helped reduce the financial burden.
The project was carried out by Natalia Komarzańska and Dominika Koss-Grajdura, with support from Anna Czornik-Sęczkowska.
Restructuring is not just about saving companies in distress
Restructuring can be an effective tool for streamlining the complex structures of corporate groups. Even highly complex networks of mutual obligations and debt do not necessarily mean that companies must be shut down or business plans abandoned.
If you are facing a similar challenge, we can help you analyze the available options and plan actions that will preserve the value of your business, streamline relationships within the group, and lay the foundation for further growth.
