We advised ATAL S.A. on the strategic acquisition of shares in Budner Group Companies
We supported ATAL S.A. in the acquisition of shares in seven companies belonging to the Budner Group. The project required the integration of transactional, legal, and tax expertise, and its total value amounted to approximately PLN 130 million.
Comprehensive support for a large-scale transaction
ATAL S.A. is a nationwide real estate developer with more than 35 years of experience, operating in eight of Poland’s largest metropolitan areas and listed on the Warsaw Stock Exchange. We provided the company with legal and tax support in the acquisition of 100% of the shares in companies belonging to the Budner Group.
The transaction covered seven development companies carrying out projects in the Tricity area and one company acting as a general contractor.
Legal and tax support for the transaction
As part of the project, we supported ATAL at key stages of the transaction by providing ongoing legal and tax advice, reviewing selected issues issues identified during the due diligence process, and assisting with the negotiation of the transaction documentation.
An important element of the project was linking the share acquisition documentation with the preliminary land acquisition agreement negotiated by the ATAL team. As a result, our advisory services covered not only the acquisition of shares, but also its connection with the planned land transaction and the further development of real estate projects.
A project creating new ivestment opportunities for the ATAL Group
ATAL acquired from the Budner Group 100% of the shares in the following companies: Budner Inwestycje, Słoneczne Wzgórza, BD 2, BD 3, BD 4, BD 5, and BD 6. The aggregate purchase price amounted to approximately PLN 100.9 million, while the total value of the transaction was approximately PLN 130 million.
The acquisition of new land and projects strengthened ATAL’s position in the Tricity market. Following the completion of the land acquisition from BD 1, the group will be able to develop new residential projects with a total usable residential floor area (PUM) of approximately 70,000 m²¹.

The project required the coordination of several advisory areas. A key factor was the effective integration of the M&A perspective with real estate and tax aspects in order to safeguard the client’s interests at every stage of the process.
