Acquisition and sale of real estate
We provide full legal support for real estate transactions, including transaction structuring and drafting and negotiating transaction documentation. We offer assistance in executing and concluding agreements, as well as advisory services regarding transaction security and tender processes. As part of our support, we also assess the tax implications of transaction.
Legal audits of real estate
We conduct due diligence of commercial, office, warehouse, industrial, residential, and undeveloped (greenfield) properties. We identify potential risks for buyers or financing entities and propose ways to mitigate them.

We supported a leading developer in the purchase of a property with an operating industrial plant and historic buildings
We advised one of the leaders of the Polish development industry in a transaction involving the purchase of a property with an operating industrial plant and historic industrial buildings. The property, acquired for approximately PLN 150 million, was intended for a residential investment with a total value of around PLN 1 billion.
Our advisory services included comprehensive support in preparing transaction documentation, negotiations, and assistance in executing notarial deeds and other documents. We also provided necessary post-transaction support.
We assisted a hotel operator in acquiring a 4-star property of an international brand
We advised an operator of 14 high-quality hotels in the acquisition of a four-star hotel property operating under an international brand in the historic medieval center of Bydgoszcz.
We provided comprehensive support to the buyer, starting with legal due diligence of the property, transaction planning (acquisition of real estate, assets, intangible rights, and employee transfer), and ending with drafting and negotiating the entire transaction documentation and obtaining tax interpretations. Thanks to our support, the transaction was carried out safely and efficiently.
We advised on the acquisition of a cargo handling company with port real estate
We advised on the acquisition of an operating cargo handling company owning real estate in one of Poland’s major ports. Our support covered all aspects of the transaction – from due diligence of the real estate and the acquired company, through preparation and negotiation of multi-threaded transaction documentation, to obtaining necessary administrative permits.
A key element of the transaction was also the submission of required notifications related to special pre-emption rights applicable to companies owning port real estate.
We comprehensively supported a leading home appliance company in a lease transaction based on U.S. market standards
We advised a global leader in the home appliance industry in a lease transaction for a key warehouse. The transaction was based on U.S. market standards and had a value of approximately EUR 23.5 million.
Our support included strategic advisory in transaction planning and relations with other involved parties. We were also responsible for verifying and preparing documentation. We ensured the implementation of U.S. transactional standards under Polish law and assisted in negotiations and signing of the documentation.
We prepared a comprehensive lease concept for 150 hectares of land for a photovoltaic farm
We supported the client in preparing a comprehensive corporate, tax, and real estate concept for leasing approximately 150 hectares of land for a photovoltaic farm. The total investment value was around PLN 150 million.
Our support included preparing an analysis of restrictions on trading agricultural real estate and a tax analysis of the project. We were also responsible for drafting and negotiating the lease agreement, taking into account the capital structure of the companies established for the investment.
We supported the sale and leaseback of production facilities worth PLN 125 million
We advised on the sale and leaseback transaction of key production facilities to a European leader in the production of expanded polypropylene (EPP) components, listed on the Warsaw Stock Exchange. The transaction, with a total value of approximately PLN 125 million, was carried out for a Scandinavian investment fund and included four production facilities – three located in Poland and one, owned by a subsidiary, in Germany.
We provided advisory throughout the entire transaction, including negotiations of commercial terms, drafting transaction documentation, and interactions with public administration. We also supported the signing and execution of agreements, as well as the adoption of necessary corporate acts.
We assisted a Chinese investor in transactions involving distribution centers
We advised a Chinese logistics sector investor in two sale and leaseback transactions of distribution centers to an international investment fund. We provided support throughout the entire process – from assistance during the buyer’s due diligence, through negotiation of transaction documentation and support in its execution, to assistance in post-transaction activities.
We secured an international transaction involving agricultural and food-processing real estate
We supported a foreign client in the acquisition of a Polish group of companies operating in the agricultural and food-processing sector. As part of the cooperation, we secured the risk related to the trading of agricultural real estate and shares in companies owning agricultural properties in several locations across Poland. A key aspect of the project was considering the obstacles resulting from therights held by the National Support Centre for Agriculture (KOWR).
We provided comprehensive support in the acquisition of 46 hectares of land in a Special Economic Zone
We supported a global leader in materials technology in the process of acquiring land with a total area of 46 hectares located within the boundaries of a Special Economic Zone. We provided comprehensive legal assistance for the land acquisition process intended for the expansion of a production facility – from real estate due diligence, through support during tender procedures, to negotiation of transaction documentation and representation during the signing of notarial deeds.
