In 2016, O&W got involved in numerous projects connected with the introduction of taxpayers’ requirement to report data in the form of a standard audit file for tax (SAF-T). The most important project, i.e. the process of co-development of a software solution that allows to generate SAF-T from SAP systems was performed in cooperation with the company SI-Consulting.

The project was carried out by a team lead by Tomasz Gałka and participated by, inter alia, Wojciech Fryze, Marcin Żygłowicz and Karol Niemiec. It resulted in development of software, which is now a standard solution in the field of SAF-T offered by SAP.

Simultaneously, works focused on SAF-T Analyser were carried out, the application that allows, for example to visualize and control SAF-T, including many other, still developed functionalities.

Pursuant to the new regulations, preparation and implementation of Issuer’s information policies concerning stock exchange reporting, involved:

• Verification of internal regulations concerning confidential information, in force at individual issuers’ companies;

• Creation of the Individual Reporting Standard (IRS) for Issuers, specifying, in particular, an individual catalogue of price-setting information and significance threshold for the Issuer as well as support in creating analytical material justifying IRS;

• Creation of Information Flow Policy;

• Preparation of full set of additional documents required by MAR Regulation.

For some members of O&W advisory team, the end of 2016 has been marked by participation in capital group reorganization, crucial for our Client from the call centre sector and carried out simultaneously at many levels.

In addition to our support in planning the legal and tax structure of the reorganization, the O&W advisors also carried out a legal and tax due diligence of the companies from the group and participated in preparation of complete set of documentation enabling execution of the process.

Further, our support included drafting and negotiating a package of contacts to finalize accession of an external investor to the group, including the key investment contract and a shareholders’ agreement. The documents signed on 15th of December 2016 are not only a basis of a complex external investment into our Client’s capital group, but also include regulations related to group’s functioning in the future focused on dynamic growth.
